Confidentiality Agreement

Gender Justice League / Trans Pride Seattle Organizing Hub — User Confidentiality Agreement

This Agreement is presented to all users during account registration and must be accepted to access the Hub.

Parties

This Confidentiality Agreement (“Agreement”) is entered into as of the date of electronic acceptance (“Effective Date”) between:

Gender Justice League / Trans Pride Seattle(“GJL/TPS”), a Washington State campaign committee, PO Box 21961, Seattle, WA 98111 (the “Disclosing Party”); and

The registered user accepting this Agreement(the “Receiving Party” or “User”).

Recitals

WHEREAS, GJL/TPS operates a political campaign opposing ballot initiatives IL26-001 and IL26-638 in the State of Washington;

WHEREAS, GJL/TPS has developed and maintains the Gender Justice League / Trans Pride Seattle Organizing Hub (the “Hub”), a web application containing proprietary campaign tools, messaging frameworks, strategic materials, internal data, and other confidential information;

WHEREAS, the User desires access to the Hub for purposes of participating in lawful campaign activities; and

WHEREAS, GJL/TPS requires that all users agree to protect the confidentiality of certain information accessed through the Hub;

NOW, THEREFORE, in consideration of the User's access to and use of the Hub, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

Section 1: Definition of Confidential Information

1.1 “Confidential Information” means any and all non-public information disclosed to, accessed by, or made available to the User through the Hub or through the User's participation in GJL/TPS campaign activities, whether disclosed orally, in writing, electronically, or by any other means, including but not limited to:

  • Campaign Strategy: Internal campaign strategy documents, tactical plans, field operation plans, targeting data, voter contact strategies, canvass scripts, phone bank scripts, and operational timelines;
  • Polling and Research Data: Internal polling results, benchmark surveys, focus group findings, opposition research, message testing results, and any data or analysis derived from campaign research;
  • Messaging and Intellectual Property: Proprietary messaging frameworks, messaging triangles, deflector guides, embrace/replace language frameworks, conversation guides, and other intellectual property developed by or for GJL/TPS;
  • Digital Tools and Technology: Proprietary features, functionality, design specifications, code, algorithms, and architecture of the Hub, including but not limited to the gamification system, dashboard configurations, and action-tracking systems;
  • Volunteer and Supporter Data: Volunteer rosters, supporter contact information, donor lists, endorsement pipelines, volunteer performance data, and team-level analytics, except to the extent such information is publicly disclosed pursuant to Washington campaign finance disclosure requirements;
  • Coalition Intelligence: Non-public information regarding coalition partner strategies, commitments, internal deliberations, or confidential communications shared within the GJL/TPS coalition;
  • Financial Information: Campaign budget details, fundraising strategies, expenditure plans, vendor contracts, and financial projections, except to the extent such information is publicly disclosed pursuant to Washington campaign finance disclosure requirements;
  • Communications: Internal campaign communications, staff deliberations, strategic discussions, and any other non-public communications accessed through the Hub or campaign activities;
  • Community & Social Features: Content posted to the Hub's community feed, chatroom messages, direct messages, inbox communications, poll responses, forum discussions, team messages, and any user-generated content shared within the Hub's internal social features. While users may share their own original posts externally, they may not share, reshare, screenshot, or reproduce other users' posts, messages, or profile information outside the Hub without the originating user's explicit consent;
  • Internal Analytics & Gamification: Leaderboard rankings, AP (Action Points) data, badge awards, volunteer activity metrics, streak data, engagement statistics, and other performance or participation data viewable within the Hub.

1.2 Confidential Information does NOT include information that:

  • Is or becomes publicly available through no fault or action of the User;
  • Was known to the User prior to disclosure by GJL/TPS, as evidenced by written records;
  • Is independently developed by the User without reference to or use of Confidential Information;
  • Is disclosed to the User by a third party who is not under a confidentiality obligation to GJL/TPS with respect to such information;
  • Is required to be disclosed by law, regulation, court order, or governmental process, provided that the User gives GJL/TPS prompt written notice of such requirement (to the extent legally permitted) so that GJL/TPS may seek a protective order or other appropriate remedy; or
  • Relates to conduct that the User reasonably believes constitutes illegal discrimination, illegal harassment, illegal retaliation, a wage and hour violation, sexual assault, or conduct that is against a clear mandate of public policy, consistent with the protections afforded under Washington's Silenced No More Act (RCW 49.44.211).

Section 2: Obligations of the User

  • 2.1 Non-Disclosure. The User shall not disclose, publish, disseminate, or otherwise communicate any Confidential Information to any third party, including but not limited to media organizations, opposition campaigns, political adversaries, social media audiences, or any person not authorized by GJL/TPS to receive such information.
  • 2.2 Non-Use. The User shall not use Confidential Information for any purpose other than participation in authorized GJL/TPS campaign activities. The User shall not use Confidential Information for the benefit of any other campaign, organization, or individual.
  • 2.3 Non-Reproduction. The User shall not copy, reproduce, screenshot, download (except through authorized Hub features), photograph, screen-record, or otherwise duplicate Confidential Information, except as reasonably necessary for authorized campaign activities and with GJL/TPS's express or implied consent.
  • 2.4 Social Media & External Sharing Prohibition. The User shall not share, reshare, forward, repost, screenshot, screen-capture, or otherwise reproduce any content from the Hub's internal community features — including but not limited to community feed posts, chatroom messages, direct messages, inbox emails, forum discussions, team messages, polls, or any other user-generated content — to any platform, service, or audience outside the Hub. This includes sharing to personal social media accounts (Facebook, Instagram, Twitter/X, TikTok, Reddit, etc.), messaging apps (iMessage, WhatsApp, Signal, Telegram, Discord, etc.), email, blogs, news organizations, or any other external channel. Violations of this provision constitute a material breach of this Agreement.
  • 2.5 Reasonable Care. The User shall exercise at least the same degree of care to protect the confidentiality of Confidential Information as the User would exercise with respect to their own confidential information, but in no event less than reasonable care.
  • 2.6 Device Security. The User shall take reasonable steps to secure any device used to access the Hub, including maintaining password protection and not permitting unauthorized individuals to access their Hub account.
  • 2.7 Notification of Breach. The User shall immediately notify GJL/TPS upon discovering or suspecting any unauthorized disclosure of, access to, or use of Confidential Information.

Section 3: Publicly Shareable Materials

3.1 Notwithstanding Section 2, the Hub may designate certain materials as “shareable” or “public” — including but not limited to social media graphics from the Social Toolkit, public-facing fact sheets, downloadable posters, shareable badge graphics, and content explicitly marked for distribution. Users are encouraged to share such designated materials broadly in furtherance of the campaign.

3.2 Users may share their own original community feed posts externally if the content does not contain Confidential Information as defined in Section 1. However, sharing other users' posts, comments, messages, or any content from the chatroom, inbox, direct messages, or forum requires the explicit consent of the originating user(s).

3.3 The designation of materials as shareable does not extend to any internal strategy, data, or context that may accompany those materials within the Hub. Only the specifically designated shareable asset itself may be distributed.

Section 4: Term and Survival

4.1 Term. This Agreement shall remain in effect from the Effective Date until the later of: (a) one (1) year after the User's last access to the Hub, or (b) June 30, 2027.

4.2 Survival. The obligations of confidentiality set forth in this Agreement shall survive the termination of the User's Hub account, the conclusion of the GJL/TPS campaign, and the expiration of this Agreement, for so long as the Confidential Information remains non-public.

Section 5: Return of Materials

Upon termination of the User's Hub account, or upon request by GJL/TPS, the User shall promptly delete or destroy all copies of Confidential Information in the User's possession or control, including any materials stored on personal devices, cloud storage, or other media.

Section 6: Remedies

6.1 Injunctive Relief. The User acknowledges that any unauthorized disclosure or use of Confidential Information may cause irreparable harm to GJL/TPS for which monetary damages may be an inadequate remedy. Accordingly, GJL/TPS shall be entitled to seek injunctive relief, including temporary restraining orders and preliminary and permanent injunctions, to enforce the provisions of this Agreement, without the necessity of proving actual damages or posting a bond, in addition to all other remedies available at law or in equity.

6.2 Indemnification. The User agrees to indemnify and hold harmless GJL/TPS, its officers, staff, agents, coalition partners, and volunteers from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from the User's breach of this Agreement.

Section 7: General Provisions

  • 7.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of laws principles.
  • 7.2 Venue. Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in King County, Washington, and the Parties consent to the personal jurisdiction of such courts.
  • 7.3 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall remain in full force and effect.
  • 7.4 Entire Agreement. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements.
  • 7.5 Waiver. The failure of either Party to enforce any provision of this Agreement shall not constitute a waiver of that Party's right to enforce that provision or any other provision in the future.
  • 7.6 Assignment. The User may not assign or transfer this Agreement without the prior written consent of GJL/TPS. GJL/TPS may assign this Agreement to any successor campaign committee or affiliated organization.
  • 7.7 Electronic Acceptance. The User acknowledges that clicking “I Accept” or similar affirmative action during Hub registration constitutes the User's electronic signature and agreement to be bound by the terms of this Agreement, with the same force and effect as a handwritten signature, pursuant to the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. §§ 7001-7006) and the Washington Uniform Electronic Transactions Act (RCW 1.80).
  • 7.8 Consideration. The User acknowledges that access to the Hub and its proprietary tools, resources, and features constitutes adequate consideration for this Agreement.
